ARTICLE 1
The name of this Association shall be the ST. GREGORY FAMILY ASSOCIATION.
ARTICLE 2 (Purpose)
The purpose of this Association shall be to support and enhance the activities of St. Gregory, to foster a spirit of participation among all members of the St. Gregory community, to help the Board of Trustees and Administration and Faculty maintain the fullest possible sensitivity to the needs of the students.
ARTICLE 3 (Membership)
Section 1. All parents or guardians of students registered in St. Gregory, former parents or guardians of registered students. g raduates, Faculty and Staff shall be eligible for membership.
Section 2. All members shall have voting privileges and shall be eligible for St. Gregory Family Association Board positions.
ARTICLE 4 (Dues)
The annual dues for members shall be established by the Board of Directors of the St. Gregory Family Association. Dues shall be payable in September and shall be delinquent in January. Dues shall be “bookbilled” by the school to all parents of registered students unless noticed otherwise. No member delinquent or voluntarily declining payment in dues shall be eligible to hold office or vote.
ARTICLE 5 (Meetings)
The fiscal year shall be from July 1st through June 30th.
ARTICLE 6 (Meetings)
Section 1. General meetings will be held at least once a year.
Section 2. Additional general meetings may be called by the Chairman or by the Board of Directors of this Association.
Section 3. Ten percent (10%) of the voting membership shall constitute a quorum.
ARTICLE 7 (Executive Officers)
The officers of this Association shall be a President, (2) Vice-Presidents, Treasurer, and Secretary; elected by the membership for a one-year term of office at the last meeting in each calendar year. Only voting members of the St. Gregory Family Association shall be eligible to hold office:
Duties
A. PRESIDENT:
Shall preside at all meetings of the Association.
Shall co-sign all , contracts and legal papers.
May delegate check authorization, in writing, to a committee chair when appropriate.
Shall be an ex-officio member of committees, except the Nominating Committee.
Shall attend the Board of Trustee meetings as a non-voting member.
B. VICE-PRESIDENTS:
Shall assist the President and assume the duties and responsibilities in the absence of the President and serve as liaison and ex-officio member on half of the standing committees, each .
C. TREASURER:
Shall maintain the funds of the St. Gregory Family Association.
Shall sign all check authorizations,
Shall keep an itemized account on all receipts and disbursements.
D. SECRETARY:
Shall keep the minutes of all St. Gregory Family Association Board and General Meetings.
May sign off on check authorizations in case of the absence of the Treasurer.
Vacancies
Vacancies in offices shall be filled by vote of the Board of Directors of this Association.
ARTICLE 8 (SGFA Board of Directors)
Section 1. The board of Directors shall consist of the Executive Officers, the Chairpersons of Board-Approved Committees, and others who may be designated by the President with the approval of the Board of Directors.
Section 2. All business of the Association shall be conducted by the B oard of Directors.
Section 3. The date and the place of Board meetings shall be determined by the President of the St. Gregory Family Association.
Section 4. A majority of the Board of Directors shall constitute a quorum.
Section 5. Vacancies in the Board of Directors shall be filled by appointment of the President.
Section 6. Only voting members of the St. Gregory Family Association shall be eligible for the Board of Directors.
ARTICLE 9 (Special Committees)
Special Committees shall be established by the Board of Directors when deemed advisable to fulfill special projects.
ARTICLE 10 (Nominations and Elections)
The Nominating Committee shall consist of three persons. They shall be: one faculty member, one member of the Family Association board of directors, and one member at large, to be appointed by the President with the approval of the Board of Directors.
Section 1. The Nominating Committee Chairperson shall be appointed by the President with the approval of the Board of Directors.
Section 2. Anyone who wishes to place his/her name in nomination may do so by notifying the Nominating Committee Chairperson prior to the meeting of the Nominating Committee. The Chairperson and board of Directors shall also have the privilege to nominate additional candidates to be placed on the ballot.
Section 3. Only voting members of the St. Gregory Family Association shall be eligible to serve on the Nominating Committee.
Section 4. The annual election and installation of Officers shall take place at the last General Meeting in the fiscal year.
Section 5. The Nominating Committee shall prepare a slate of candidates, nominating one (1) or more persons for each office. This slate shall be announced to all members at least one (1) week prior to the last General Meeting.
Section 6. A nomination other than the Nominating Committee's may be made in writing, accompanied by a letter of consent from the nominee. Both letters must be received by the Chairperson of the Nominating Committee at least forty-eight (48) hours prior to the last General Meeting.
Section 7. Officers my be elected by adoption of the slate presented by the Nominating Committee. If there is more than one candidate for an office, election shall be by ballot and a majority vote shall elect.
ARTICLE 11 (Amendments and Rules of Order)
The By-Laws may be amended by a two-thirds vote of the members present at any meeting of the Association, provided that notice of proposal to amend has been mailed to each member at least two (2) weeks prior to the date of the meeting. ROBERT'S RULES OF ORDER NEWLY REVISED shall be the parliamentary authority for all matters of procedure not covered by the rules of procedure adopted by the Association.
